Terms and Conditions for In-House Training and Services
These Terms and Conditions apply to in-house training, workshops, facilitation, coaching and other services provided by Marcomm Ltd.
Provisional Dates and Booking Confirmation
Where Marcomm offers a provisional date, the date will normally be held for three working days. If confirmation is not received within this period, Marcomm reserves the right to release the date and offer it to another client.
A booking is confirmed when the client confirms that they wish to proceed with the agreed date and services and
Marcomm issues a Booking Confirmation.
The Booking Confirmation will outline the details of the training or services agreed. If these details are incorrect, they should be queried within three working days of the Booking Confirmation being sent. After this time, an administration fee of £50.00 is payable at Marcomm's discretion should any of the agreed booking details need to be changed.
Fees – Design Fee
A one-off Design Fee may be applicable. Where applicable, the Design Fee includes design of the course content and materials.
Payment of the Design Fee does not entitle the client to ownership of the course content or materials. The course content or materials may not be reused or distributed without written permission from Marcomm.
Fees – Course Fee
The Course Fee does not include accommodation, meals, travel or any other expenses that may be incurred by participants or organisers.
The Course Fee does not include any facilities or equipment identified as being necessary for the course. The training venue, equipment and delegate refreshments will be provided by the client or may be provided by Marcomm at an additional cost.
The Course Fee does not include accommodation, meals, travel or other expenses that may be incurred by the trainer. We will agree any applicable additional fees with the client in advance of the commencement of the course. Where applicable, mileage is charged at 50p per mile and other expenses at cost.
Payment Terms
The Course Fee is due for payment strictly 30 days from the invoice date.
Prices quoted exclude VAT or other applicable taxes, which will be added at the current rate.
Cancellations or Rescheduling by the Client
The client may cancel or reschedule training delivery, but Marcomm will apply the following charges:

11 or more working days Administration Fee of £50.00 payable
6–10 working days 50% of the Course Fee
0–5 working days 100% of the Course Fee
Notice of cancellation or rescheduling should be provided to Marcomm in writing.
Where Marcomm agrees, at its discretion, to waive or reduce a cancellation or rescheduling charge, this will apply only to that particular booking and will not affect Marcomm's right to apply these Terms and Conditions to future bookings.
Cancellations and Changes by Marcomm
If Marcomm has to cancel the Training Course for any reason, we will refund 100% of any prepaid Course Fee, but we will not be liable for any other costs incurred including, for example, travel charges or any consequential damages, even if we were advised of them.
It may become necessary for Marcomm to make alterations to the content, facilitators, timing, venue or date of the Training Course.
Warranty and Liability
The participant accepts that it is their responsibility to verify that the Training Course is suitable for the requirements of the participant attending and that the participant has the necessary level of competence to be able to achieve the objectives of the Training Course. Marcomm shall have no liability for any use of, or any inability to use, any material supplied or knowledge gained from participation in the Training Course.
Marcomm's liability for loss and damage shall be limited to a claim for damages. The maximum aggregate liability will be the charges for the Training Course out of which the loss or damage has arisen. Marcomm will not be liable for indirect, special or consequential loss (including loss of anticipated profit or data), howsoever arising, even if it has been advised of such potential loss.
Copyright and Confidentiality
The Training Course content and materials remain the copyright of Marcomm Ltd. Unauthorised copying or redistribution of the Training Course materials is prohibited unless agreed in advance in writing by Marcomm.
Unless Marcomm notifies the Client otherwise, all documents and information received by the Client during or in connection with the training shall be held in confidence. Such documents and information shall not be disclosed by the Client, its staff or agents to any other person without the prior written consent of Marcomm unless a duty to disclose to that person is imposed by law or court order.
Assignment
Your rights under this Agreement are not property rights and may not be transferred to third parties. You are not authorised to resell any participant places to any external or third parties without the prior written agreement of Marcomm.
Amendment and Waiver
This Agreement may not be amended except in writing signed by both parties. No waiver of any terms of this Agreement occurs unless in writing signed by the party waiving its rights.
Force Majeure
Marcomm shall not be liable or deemed to be in default for any delay or failure in performance under this Agreement resulting directly or indirectly from acts of God, or any causes beyond the reasonable control of Marcomm.
Notices
All notices, requests, demands, waivers and other communications under this Agreement shall be in writing and shall be deemed to have been duly given if delivered personally, by electronic mail or by mail.

Your Contact Details
Marcomm will use the contact and participant details provided in connection with a booking for the purposes of administering and delivering the agreed training or services.
Personal information will be handled in accordance with applicable data protection legislation and Marcomm's Privacy Policy.
General
The Terms and Conditions and details in this document represent a complete statement of the agreement between the parties and supersede all prior discussions, correspondence and representations. Our brochures and advertisements are for information purposes only and are not intended to form any agreement between Marcomm and the recipient.
These Terms and Conditions are subject to change without notice and changes will apply to any Training Course order received after the date of the change. These Terms and Conditions may not be varied except in a written agreement signed by an officer of Marcomm.
Marcomm's acceptance of a purchase order containing different terms and conditions does not modify or supersede these Terms and Conditions.
Waiver by Marcomm of any of the terms herein or the granting of time or indulgence by Marcomm to the Client shall in no way affect Marcomm's rights hereunder.
If any provision herein is held to be invalid, illegal or unenforceable, the validity and enforceability of the remaining provisions shall not in any way be affected or impaired.
This Agreement shall be governed by and interpreted in accordance with the Laws of Northern Ireland.
